S.S. RAUTHAN AND ASSOCIATES was established in the year 1999 with the staff members of seven. It is a proprietorship concern. We are catering to all types of companies. We undertake all company law matters, Mergers and Acquisitions / Amalgamations, Reconstruction/ Project Financing and Taxation, Company Secretarial Work, Financing etc.

Some of our working experience as follows:

  • From May 95 to September 99 as a Company Secretary in M/s.Nav Bharat Group, Sunflex Finance & Investments Ltd.

  • From November. 92 to May 95 as a Chief Executive (Secretarial & Finance) in Surendra Mardia Group, Mardia Samyoung Capillary Tubes Co. Ltd.

  • From March 90 to November 92 as a Assistant Company Secretary in Navneet Group, Navneet publications (I) Ltd.

  • From April 88 to March 90 as a Junior Accountant in PCS Group, PCS Patni Computers Systems Ltd.

    We are dealing the following aspects of the companies

    SECRETARIAL :

    Supervising and Compliance of Corporate Secretarial work pursuant to provisions of Companies Act, 1956 and Rules & Regulations thereunder. Compliance of the various provisions, Rules and Regulations under SEBI, FERA/FEMA, MRTP, IDRA, RBI Act etc. Monitoring Share Transfer/ Transmission and its related matters.

    LEGAL :

    Drafting and executing various documents relating to Purchase and Sale of properties, security documents in favour of Banks and Financial Institutions. Co-ordination with Company’s Legal Advisor and Advocates in respect of filing civil, criminal suits, complaints, drafting and execution of Foreign Equity & Technical Collaboration Agreement and other general documents.

    FINANCE :

    Preparing Monthly, Quarterly, Yearly, Cash and Fund Flow Statement, Sales Budget, Preparing Project Report and getting its appraisal from Financial Institutions and Banks for assistance of Term Loans and Working Capital. Drafting and execution of security documents, providing the requisite reports, data, Forms to Bank and Financial Institutions for availing revival and/or ad-hock of credit facilities etc. Registration and Satisfaction of Charges, i.e. Filing of Form No. 8, 13, 17, Execution of Security documents, deeds, forms.

    PUBLIC ISSUE MANAGEMENT :

    Independently managed public issues of three Companies of “Surendra Mardia Group” i.e. of M/s. Mardia Tubes Limited, Mardia Samyoung Capillary Tubes Company Limited (Indo-Korean Joint Venture) and Mardia Extrusions Limited. Represented “Category 1 Merchant Banker” in public and right issue management of eight Companies.

    ACCOUNTS & TAXATION :

    Supervising and Co-ordination in preparation of Monthly, Quarterly, Half yearly and Annual Balance Sheet, Profit & Loss Account. Supervising Payment of Advance & Self-Assessment Income Tax, Sales Tax, Filing of Returns. Co-ordination with the Auditors at the time of Audit & Assessment.
